Terms of Service & End User License Agreement

Last updated: October 10, 2026

These terms (the "Agreement") govern your use of GearHive — the web application at gearhive.cloud, the GearHive mobile and watch apps, and the integrations they offer (together, the "Service"). The Service is operated by Intelligon Investments LLC("GearHive," "we," "us"). By creating an account or using the Service you agree to this Agreement on your own behalf and on behalf of the company or organization whose workspace you use. If you do not agree, do not use the Service.

1. Accounts and workspaces

You must provide accurate information when you sign up and keep your sign-in credentials confidential. A workspace belongs to the company that created it; the workspace owner controls who is a member, what mode the workspace runs in, and which integrations are connected. You are responsible for everything done through your account and for the members you invite.

2. License

Subject to this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service, including the mobile and watch apps, for your internal business or personal purposes. We and our licensors keep all rights in the Service. You may not copy, modify, reverse engineer, resell, sublicense, or build a competing product from the Service, or use it to send unlawful or infringing content.

3. Your data

Everything you enter or upload — equipment, parts, customers, job sites, jobs, photos, time entries, documents — is your data. You keep ownership of it and grant us only the rights needed to host, process, back up, and display it to you and your members and to operate the integrations you connect. We handle personal information as described in our Privacy Policy. Photos may carry a time and GPS stamp; you are responsible for having any consent needed to capture them at a site.

4. Integrations and third-party services

The Service can connect to third-party services you authorize, including QuickBooks Online (Intuit), appliance and lighting platforms, and voice assistants. When you connect one, you authorize us to exchange data with it on your behalf — for example, reading and creating customers, vendors, products and services, and creating invoices in your QuickBooks company file. Those services are governed by their own terms and privacy policies; we are not responsible for their availability, accuracy, or actions. You can disconnect an integration at any time from Settings, after which we stop exchanging data with it. Invoices and other records already created in a third-party service remain there and are yours to manage.

5. Accuracy of business records

The Service helps you track work, time, materials and billing, and can prepare invoices from that information. You are responsible for reviewing what is invoiced, for the rates, hours, quantities and customers it contains, and for your own tax, accounting and payroll obligations. The Service is not accounting, legal or tax advice.

6. Subscriptions and payment

Some plans are paid. Fees, billing cycles and included limits are shown at sign-up and in Settings → Billing. Paid plans renew automatically until cancelled; you can cancel at any time and keep access through the end of the period already paid for. Fees are non-refundable except where the law requires otherwise.

The Jobsite plan is billed yearly and may start with a free trial, offered once per workspace: a payment card is collected when the trial starts and the first yearly fee is charged when it ends unless you cancel before then. The Jobsite plan is priced per login; a login added during a plan year is charged in full when it is added (no proration), and each renewal is charged for the logins in use at that time.

The Individual plan is billed monthly or yearly. The Armory plan is billed yearly only and has no free trial. Individual and Armory are for one person, with one login. When you move to a higher plan, your earlier subscription ends and the unused time you paid for is credited toward your future charges.

7. Acceptable use

Do not use the Service to break the law, infringe others' rights, probe or disrupt our systems or networks, upload malicious code, or access data that is not yours. We may suspend or terminate accounts that do.

8. Availability and changes

We work to keep the Service available and back up your data regularly, but the Service is provided "as is" and we do not promise uninterrupted or error-free operation. We may change or discontinue features with reasonable notice where practical.

9. Disclaimers and limitation of liability

To the fullest extent permitted by law, the Service is provided without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the twelve months before the claim arose.

10. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access for breach of this Agreement. On termination your license ends; you may export your data beforehand, and we may delete it after a reasonable period.

11. Governing law

This Agreement is governed by the laws of the State of Missouri, USA, without regard to its conflict-of-law rules. Disputes will be brought in the state or federal courts located in Missouri, and you consent to their jurisdiction.

12. Changes to this Agreement

We may update this Agreement. The date above shows when it last changed; material changes will be announced in the Service. Continued use after a change means you accept the updated terms.
